  SECTION 617.1507. Registered office and registered agent of foreign corporation.

  • 1(1) 2Each foreign corporation authorized to conduct its affairs in this state must continuously maintain in this state:
    19(a) 20A registered office that may be the same as any of the places it conducts its affairs; and
    38(b) 39A registered agent, who may be:
    451. 46An individual who resides in this state and whose business office is identical with the registered office;
    632. 64Another domestic entity that is an authorized entity whose business address is identical to the address of the registered office; or
    853. 86A foreign entity authorized to transact business in this state that is an authorized entity and whose business address is identical to the address of the registered office.
    114(2) 115A registered agent appointed pursuant to this section or a successor registered agent appointed pursuant to s. 132617.1508 133on whom process may be served shall each file a statement in writing with the Department of State, in such form and manner as shall be prescribed by the department, accepting the appointment as a registered agent simultaneously with his or her being designated. Such statement of acceptance shall state that the registered agent is familiar with, and accepts, the obligations of that position.
    197(3) 198For purposes of this section, “authorized entity” means:
    206(a) 207A corporation for profit;
    211(b) 212A limited liability company;
    216(c) 217A limited liability partnership; or
    222(d) 223A limited partnership, including a limited liability limited partnership.
