  SECTION 617.1506. Corporate name of foreign corporation.

  • 1(1) 2A foreign corporation may not file an application for a certificate of authority unless the corporate name of such corporation satisfies the requirements of s. 27617.040128. To obtain or maintain a certificate of authority to transact business in this state, the foreign corporation:
    46(a) 47May add the word “corporation” or “incorporated” or the abbreviation “corp.” or “inc.” or words of like import, which clearly indicate that it is a corporation instead of a natural person or partnership or other business entity; however, the name of a foreign corporation may not contain the word “company” or the abbreviation “co.”; or
    102(b) 103May use an alternate name to transact business in this state if its real name is unavailable. Any alternate corporate name adopted for use in this state must be cross-referenced to the real corporate name in the records of the Division of Corporations. If the real corporate name of the corporation becomes available in this state or if the corporation chooses to change its alternate name, a copy of the resolution of its board of directors, changing or withdrawing the alternate name and executed as required by s. 191617.01201, 192must be delivered for filing.
    197(2) 198The corporate name, including the alternate name, of a foreign corporation must be distinguishable, within the records of the Division of Corporations, from:
    221(a) 222Any corporate name of a corporation for profit incorporated or authorized to transact business in this state.
    239(b) 240The alternate name of another foreign corporation authorized to transact business in this state.
    254(c) 255The corporate name of a not-for-profit corporation incorporated or authorized to transact business in this state.
    271(d) 272The names of all other entities or filings, except fictitious name registrations pursuant to s. 287865.09, 288organized, or registered under the laws of this state, that are on file with the Division of Corporations.
    306(3) 307If a foreign corporation authorized to transact business in this state changes its corporate name to one that does not satisfy the requirements of s. 332617.0401, 333such corporation may not transact business in this state under the changed name until the corporation adopts a name satisfying the requirements of s. 357617.0401358.
