SECTION 620.2106. Merger.

1(1) 2A limited partnership may merge with one or more other constituent organizations pursuant to this section and ss. 20620.210721-22620.2109 23and a plan of merger, if:29(a) 30The governing law of each of the other organizations authorizes the merger.
42(b) 43The merger is permitted by the law of a jurisdiction that enacted each of those governing laws.
60(c) 61Each of the other organizations complies with its governing law in effecting the merger.
75(2) 76A plan of merger must be in a record and must include:88(a) 89The name and form of each constituent organization.
97(b) 98The name and form of the surviving organization.
106(c) 107The terms and conditions of the merger, including the manner and basis for converting the interests in each constituent organization into any combination of money, interests in the surviving organization, and other consideration.
140(d) 141Any amendments to be made by the merger to the surviving organization’s organizational documents.
