  SECTION 620.1804. Power of general partner and person dissociated as general partner to bind partnership after dissolution.

  • 1(1) 2A limited partnership is bound by a general partner’s act after dissolution which:
    15(a) 16Is appropriate for winding up the limited partnership’s activities; or
    26(b) 27Would have bound the limited partnership under s. 35620.1402 36before dissolution, if, at the time the other party enters into the transaction, the other party does not have notice of the dissolution.
    59(2) 60A person dissociated as a general partner binds a limited partnership through an act occurring after dissolution if:
    78(a) 79At the time the other party enters into the transaction:
    891. 90Less than 2 years have passed since the dissociation.
    992. 100The other party does not have notice of the dissociation and reasonably believes that the person is a general partner.
    120(b) 121The act:
    1231. 124Is appropriate for winding up the limited partnership’s activities; or
    1342. 135Would have bound the limited partnership under s. 143620.1402 144before dissolution and at the time the other party enters into the transaction the other party does not have notice of the dissolution.
