  SECTION 620.1203. Certificate of dissolution; statement of termination.

  • 1(1) 2A certificate of dissolution shall be filed with the Department of State in accordance with s. 18620.1801(2) 19and set forth:
    22(a) 23The name of the limited partnership.
    29(b) 30The date of filing of its initial certificate of limited partnership.
    41(c) 42The reason for filing the certificate of dissolution.
    50(d) 51Any other information as determined by the general partners filing the statement or by a person appointed pursuant to s. 71620.1803(3) 72or (4).
    74(2) 75If there has been substantial compliance with subsection (1), then subject to s. 88620.1206(4) 89the dissolution of the limited partnership shall be effective when the Department of State files the certificate of dissolution.
    108(3) 109A dissolved limited partnership that has completed winding up may deliver to the Department of State for filing a statement of termination that states:
    133(a) 134The name of the limited partnership.
    140(b) 141The date of filing of its initial certificate of limited partnership.
    152(c) 153The limited partnership has completed winding up its affairs and wishes to file a statement of termination.
    170(d) 171Any other information as determined by the general partners filing the statement or by a person appointed pursuant to s. 191620.1803(3) 192or (4).
