SECTION 607.601. Application and effect of part.

1(1) 2This part applies to a benefit corporation and does not affect a corporation that is not a benefit corporation.
21(2) 22Except as provided in this part, this chapter applies generally to all benefit corporations.
36(3) 37A benefit corporation may be simultaneously subject to this part and to one or more chapters, including chapter 621. In such event, this part takes precedence with respect to a benefit corporation.
69(4) 70Except as authorized by this part, a provision of the articles of incorporation or bylaws of a benefit corporation, or a shareholders agreement among shareholders of a benefit corporation, may not limit, be inconsistent with, or supersede a provision of this part.
