SECTION 607.1410. Director duties.

1(1) 2Directors shall cause the dissolved corporation to discharge or make reasonable provision for the payment of claims and make distributions in liquidation of assets to shareholders after payment or provision for claims.
34(2) 35Directors of a dissolved corporation that has disposed of claims under s. 47607.1406, 48s. 49607.1407, 50or s. 52607.1409 53are not liable to any claimant or shareholder for a breach of subsection (1) with respect to claims against the dissolved corporation that are barred or satisfied in accordance with s. 84607.1406, 85s. 86607.1407, 87or s. 89607.140990.
