  SECTION 607.1408. Claims against dissolved corporations; enforcement.

  • 1A claim that is not barred by s. 9607.1406(4), 10by s. 12607.1407(2), 13or by another statute limiting actions may be enforced:
    22(1) 23Against the dissolved corporation, to the extent of its undistributed assets; or
    35(2) 36Except as provided in s. 41607.1409(4), 42if the assets have been distributed in liquidation, against a shareholder of the dissolved corporation to the extent of the shareholder’s pro rata share of the claim or the corporate assets distributed to the shareholder in liquidation, whichever is less, provided that the aggregate liability of any shareholder of a dissolved corporation arising under s. 97607.1406, 98under s. 100607.1407, 101or otherwise may not exceed the total amount of assets distributed to the shareholder in dissolution.
