  SECTION 607.1404. Revocation of dissolution.

  • 1(1) 2A corporation may revoke its dissolution at any time prior to the expiration of 120 days following the effective date of the articles of dissolution.
    27(2) 28Revocation of dissolution must be authorized in the same manner as the dissolution was authorized unless that authorization permitted revocation by action of the board of directors alone, in which event the board of directors may revoke the dissolution without shareholder action.
    70(3) 71After the revocation of dissolution is authorized, the corporation may revoke the dissolution by delivering to the department, within the 120-day period following the effective date of the articles of dissolution, for filing articles of revocation of dissolution, together with a copy of its articles of dissolution, that set forth:
    121(a) 122The name of the corporation;
    127(b) 128The effective date of the dissolution that was revoked;
    137(c) 138The date that the revocation of dissolution was authorized;
    147(d) 148If the corporation’s board of directors or incorporators revoked the dissolution, a statement to that effect;
    164(e) 165If the corporation’s board of directors revoked a dissolution authorized by the shareholders, a statement that revocation was permitted by action by the board of directors alone pursuant to that authorization; and
    197(f) 198If shareholder action was required to revoke the dissolution, a statement that the revocation was authorized by the shareholders in the manner required by this chapter and by the articles of incorporation.
    230(4) 231Revocation of dissolution is effective upon the effective date of the articles of revocation of dissolution.
    247(5) 248When the revocation of dissolution is effective, it relates back to and takes effect as of the effective date of the dissolution and the corporation resumes carrying on its business as if dissolution had never occurred.
