  SECTION 607.0705. Notice of meeting.

  • 1(1) 2A corporation shall notify shareholders of the date, time, and place of each annual and special shareholders’ meeting no fewer than 10 or more than 60 days before the meeting date. The notice must include the record date for determining the shareholders entitled to vote at the meeting if the record date for determining the shareholders entitled to vote at the meeting is different than the record date for determining shareholders entitled to notice of the meeting. If the board of directors has authorized participation by means of remote communication pursuant to s. 95607.0709 96for any class or series of shares, the notice to the holders of such class or series must describe the means of remote communication to be used. Unless this chapter or the articles of incorporation require otherwise, the corporation is required to give notice only to shareholders entitled to vote at the meeting as of the record date for determining the shareholders entitled to notice of the meeting. Notice shall be given in the manner provided in s. 174607.0141, 175by or at the direction of the president, the secretary, or the officer or persons calling the meeting. If the notice is mailed at least 30 days before the date of the meeting, it may be done by a class of United States mail other than first class. Notwithstanding s. 225607.0141, 226if mailed, such notice shall be deemed to be delivered when deposited in the United States mail addressed to the shareholder at her or his address as it appears in the record of shareholders of the corporation, maintained in accordance with s. 268607.1601(4), 269with postage thereon prepaid.
    273(2) 274Unless this chapter or the articles of incorporation require otherwise, notice of an annual meeting of shareholders need not include a description of the purpose or purposes for which the meeting is called.
    307(3) 308Notice of a special meeting of shareholders must include a description of the purpose or purposes for which the meeting is called.
    330(4) 331Unless the bylaws require otherwise, if an annual or special meeting of shareholders is adjourned to a different date, time, or place, or to add or modify the terms of participation by remote communication, notice need not be given of the new date, time, place, or terms of participation by remote communication if the new date, time, place, or terms of participation by remote communication are announced at the meeting before an adjournment is taken, and any business may be transacted at the adjourned meeting that might have been transacted on the original date of the meeting. If a new record date for the adjourned meeting is or must be fixed under s. 444607.0707, 445however, notice of the adjourned meeting must be given under this section to persons who are shareholders as of the new record date who are entitled to notice of the meeting.
    476(5) 477Notwithstanding the foregoing, whenever notice is required to be given to any shareholder under this chapter or the articles of incorporation or bylaws of any corporation to whom:
    505(a) 506Notice of two consecutive annual meetings, and all notices of meetings or the taking of action by written consent without a meeting to such person during the period between such two consecutive annual meetings; or
    541(b) 542All, and at least two payments of dividends or interest on securities during a 12-month period,

    558have been sent by first-class United States mail, addressed to the shareholder at such person’s address as it appears in the record of shareholders of the corporation, maintained in accordance with s. 590607.1601(4), 591and returned undeliverable, then the giving of such notice to such person shall not be required. Any action or meeting which is taken or held without notice to such person has the same force and effect as if such notice has been duly given. If any such person delivers to the corporation a written notice setting forth such person’s then current address, the requirement that a notice be given to such person with respect to future notices shall be reinstated.
