  SECTION 605.1021. Merger authorized.

  • 1(1) 2By complying with the provisions of this section and ss. 12605.102213-14605.102615:
    16(a) 17One or more domestic limited liability companies may merge with one or more domestic or foreign entities into a domestic or foreign surviving entity; and
    42(b) 43Two or more foreign entities may merge into a domestic limited liability company.
    56(2) 57By complying with the provisions of this section and ss. 67605.102268-69605.1026 70which are applicable to foreign entities, a foreign entity may be a party to a merger under the provisions of this section and ss. 94605.102295-96605.1026 97or may be the surviving entity in such a merger if the merger is authorized by the law of the foreign entity’s jurisdiction of formation.
    122(3) 123In the case of a merger involving a limited liability company that is a not-for-profit company, the surviving limited liability company or other business entity must also be a not-for-profit entity.
