SECTION 605.1001. Relationship of the provisions of this section and ss. 605.1002-605.1072 to other laws.

1(1) 2The provisions of this section and ss. 9605.100210-11605.1072 12do not authorize an act prohibited by, and do not affect the application or requirements of, law other than the provisions of this section and ss. 38605.100239-40605.107241.
42(2) 43A transaction effected under this section and ss. 51605.100252-53605.1072 54may not create or impair a right or obligation on the part of a person under a provision of the law of this state other than this section and ss. 84605.100285-86605.1072, 87relating to a change in control, takeover, business combination, control-share acquisition, or similar transaction involving a merging, acquiring, or converting domestic business corporation unless:
111(a) 112If the corporation does not survive the transaction, the transaction satisfies the requirements of the provision; or
129(b) 130If the corporation survives the transaction, the approval of the plan is by a vote of the shareholders or directors which would be sufficient to create or impair the right or obligation directly under the provision.
