  SECTION 605.0703. Procedure for judicial dissolution; alternative remedies.

  • 1(1) 2Venue for a proceeding brought under s. 9605.0702 10lies in the circuit court of the county where the limited liability company’s principal office is or was last located, as shown by the records of the department, or, if there is or was no principal office in this state, in the circuit court of the county where the company’s registered office is or was last located.
    67(2) 68It is not necessary to make members parties to a proceeding to dissolve a limited liability company unless relief is sought against such members individually.
    93(3) 94A court in a proceeding brought to dissolve a limited liability company may issue injunctions, appoint a receiver or custodian pendente lite with all powers and duties the court directs, take other action required to preserve the limited liability company’s assets wherever located, and carry on the business of the limited liability company until a full hearing can be held.
    154(4) 155In a proceeding brought under s. 161605.0702, 162the court may, upon a showing of sufficient merit to warrant such a remedy:
    176(a) 177Appoint a receiver or custodian under s. 184605.0704;
    185(b) 186Order a purchase of a petitioning member’s interest pursuant to s. 197605.0706; 198or
    199(c) 200Upon a showing of good cause, order another remedy the court deems appropriate in its discretion, including an equitable remedy.
